Netflix Declines to Raise Offer to Acquire Warner Brothers

The Press Release:
Netflix, Inc. today announced that it has declined to raise its offer for Warner Bros. Netflix had earlier received notice from Warner Bros. Discovery (WBD) that its Board of Directors has determined Paramount Skydance’s (PSKY) latest proposal constitutes a “Superior Proposal” under the terms of WBD’s existing merger agreement with Netflix. Netflix issued the following statement in response from co-CEOs Ted Sarandos and Greg Peters:

The transaction we negotiated would have created shareholder value with a clear path to regulatory approval. However, we’ve always been disciplined, and at the price required to match Paramount Skydance’s latest offer, the deal is no longer financially attractive, so we are declining to match the Paramount Skydance bid.

Warner Bros. is a world-class organization, and we want to thank David Zaslav, Gunnar Wiedenfels, Bruce Campbell, Brad Singer and the WBD Board for running a fair and rigorous process. We believe we would have been strong stewards of Warner Bros.’ iconic brands, and that our deal would have strengthened the entertainment industry and preserved and created more production jobs in the U.S. But this transaction was always a ‘nice to have’ at the right price, not a ‘must have’ at any price.

Today: Toy Fair 2026 Takes Over @ Jacob Javits Center

Greetings my friends, I am excited to share the update that the Toy Association’s annual “Toy Fair” will be launching in just a few short hours at the time of this posting. I’ve actually already left our Creative Command HQ and thanks to the magic of being able to schedule a post I don’t have to worry about the sporadic Internet down below ground on the MTA to make this go live. As you might recall, the general public will not be able to participate in this one and that makes me work a little harder to present you with some coolness. This means I will still be doing double-duty for the PiercingMetal website and “The Chronicles of Piercing Ken” for good measure. Most of you know that with anything that goes online with the two creative angles that another post gets added to the executive branch of my Ken Pierce Media site because that really lets me tie everything together for you nice and neatly. I’m always excited when Toy Fair comes around because its a lot of fun but don’t get me wrong it is also a whole lot of work and despite my having a bit of a laser focus, there always seems to be more to do. Another thing I like about the in person trade show is the chance to see all of the reps that I only “see” over email messages. So what are my plans for this year you might be asking.
